If you have locked iPhone, do not update iOS.
iOS 4.2.1 will update your Modem Firmware (BB) to 03.10.01
iOS 4.3 will update your Modem Firmware (BB) to 04.10.01
The jailbreaking tools will come out very soon, but unlocking tools have been postponed for several months now.
